The following are the terms & conditions that define the relationship between you and Cognotiv Pte Ltd (“the Company” or “Cognotiv”) governing your use of PandaiSuite account and all PandaiSuite services. By using PandaiSuite (“the Site”) you acknowledge that you have read and accept these terms & conditions including the Privacy Policy.

Services

PandaiSuite is a Software-as-a-Service (“SaaS”) Training Management System, Course Marketplace,and Learning Management System by creating, hosting, maintaining, and providing our services to you via the internet. Our services allow you to perform training administration, course listing and selling, and deliver engaging e-learning classes.

Account Information

To open and maintain a PandaiSuite account, you must provide us with accurate and up-to-date information.

You are responsible for keeping your business and contact information up-to-date so that you can be contacted by us. You understand and agree that if Cognotiv sends you a physical or electronic communication but you do not receive it due to your contact information being incorrect, out of date, blocked by your service provider, or you are otherwise unable to receive the communications, Cognotiv will be deemed to have effectively communicated with you.

Your PandaiSuite account must be beneficially owned by you, and you may only conduct business on your behalf of yourself.

Your PandaiSuite account will be protected by a password. You must protect against unauthorized access to your account by keeping your password secret at all times.

Access and Use of the Services

During the course of your use of the Site, your PandaiSuite account, the PandaiSuite services, or your interactions with the Site, PandaiSuite customers, or third parties, you must not:

(i) Attempt to modify, alter, hack or otherwise interfere with PandaiSuite or any material or content displayed on it;
(ii) Access or use the Site in any way that could or is intended to damage or impair it;
(iii) Provide information that is incorrect, incomplete, or misleading;
(iv) Falsely represent your affiliation with a person or entity or impersonate them;
(v) Post, promote, or transmit any prohibited materials;
(vi) Disrupt, misuse, adversely interfere with, surreptitiously intercept or expropriate, or gain access to any PandaiSuite services, system, data or information that you are not authorized to;
(vii) Copy or monitor our website without our written permission;
(viii) Take any actions that could result in the loss of services from our Internet service providers, payment processors, or suppliers.
In the event that we believe you have engaged in any of the above restricted activities (3i-viii), we may terminate, suspend or limit your access to your PandaiSuite account with immediate effect.

Termination

You may terminate your account with one month written notice and agreement from both parties. Any outstanding payments should be settled by you prior to account termination. Upon account termination, any pending transactions associated with your account will be canceled, unless otherwise prohibited by law. In the event of termination of your account, we will not be liable for any damages, losses, costs, or expenses.

Intellectual Property Rights

All content included on the Site, such as text, graphics, logos, button icons, images, audio/video clips, digital downloads, data compilations, and software, is the property of Cognotiv and is protected by Singapore and international copyright laws and/or other laws. None of the content may be copied, reproduced, retransmitted, distributed, disseminated, sold, published, broadcasted, or circulated whether in whole or in part unless expressly permitted by us and/or our suppliers, as the case may be. Nothing contained on the Site should be construed as granting by implication, or otherwise, any license or right to use any trademark displayed on the Site without our written permission. Misuse of any trademarks or any other content displayed on the Site is prohibited.

Limitations of Liability

Under no circumstance shall Cognotiv be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, revenue, use, data, cyber breach, orders transmitted electronically, or other economic advantages, regardless of the cause and theory of liability, arising out of or relating to:

(i) the use of or the inability to use the Site or any PandaiSuite services;
(ii) the cost of procurement of substitute goods and services resulting from any goods, data, information, or services purchased or obtained or messages received or transactions entered into through or from the Site;
(iii) unauthorized access to or alteration of your transmissions or data;
(iv) statements, material, activity, or conduct of third parties;
(v) any other matter relating to the Site

You are solely responsible for ensuring that your data used in connection with the Site is adequately protected and backed up and will not make a claim against Cognotiv for lost data, re-run time, inaccurate output, work delays, or lost profits resulting from the use of the materials. Cognotiv shall be held harmless from all claims arising from the use of its website, and you agree not to sue the company.

In some jurisdictions, incidental or consequential damages cannot be excluded or limited, so the above limitation or exclusion may not apply to you.

Warranty Disclaimer

You acknowledge and agree that the Site, services and any PandaiSuite content are provided to you on an “as-is” and “as available” basis. Cognotiv disclaims all warranties of any kind, express or implied, statutory or otherwise, including, but not limited to, the implied warranties or conditions of design, merchantability, fitness, and any warranties of title and non-infringement. You further acknowledge that Cognotiv does not warrant that:

(i) The site or service operation will be uninterrupted, error-free, and virus-free;
(ii) There is no risk of fraud or unauthorized use of the site or services or
(iii) There will be no change to the features or functionality of the site or services in the future.
(iv) Cognotiv shall not be responsible for determining that your proposed use of the Site or the Services complies with applicable laws when you are using it.

Headings

The section headings in these terms & conditions are for convenience only and have no legal or contractual effect.

No Waiver

The failure of Cognotiv to exercise or enforce any right or provision of these Terms of Use shall not be deemed a waiver of any further rights hereunder.

Disputes

In the interest of resolving disputes between you and Cognotiv in the most expedient manner, you agree that any and all disputes arising in connection with these terms & conditions shall be resolved by binding arbitration.

Arbitrating disputes includes, but is not limited to all claims arising out of or relating to any aspect of these terms & conditions, whether based on contract, tort, statute, fraud, misrepresentation, or any other legal theory and regardless of whether the claims arise during or after the termination of these terms & conditions.

Unless it is specifically stipulated otherwise, all notices, requests, or other communication to be given Cognotiv must be sent electronically or by postal mail to:
